Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Eshu Relay, a product of Auterah Systems ("we," "us," or "our"). Auterah Systems is a business name registered with the Corporate Affairs Commission (CAC) of Nigeria.

By creating an account, accessing our website at eshurelay.cloud, or using any feature of the service, you agree that you have read, understood, and accept these Terms. If you do not agree, do not use the service.

2. Description of Service

Eshu Relay is a software-as-a-service (SaaS) platform that enables users to publish content to social media platforms — including Facebook, Instagram, TikTok, and YouTube — by sending messages, photos, videos, or voice notes to a dedicated WhatsApp Business number.

The service includes:

• Publishing content to connected social media accounts on your behalf
• AI-powered caption generation from user prompts or voice notes
• Post history and account management via a web dashboard

Eshu Relay is a publishing tool. We are not responsible for the performance, reach, or engagement of content published through our service. We are not affiliated with Meta, TikTok, or YouTube.

3. User Eligibility

To use Eshu Relay, you must:

• Be at least 18 years of age
• Have the legal right to operate any social media account you connect (you own the account or are an authorised administrator)
• Not be barred from receiving services under applicable law
• Comply with the terms of service of any platform you connect (Facebook, Instagram, TikTok, YouTube, WhatsApp)

By using the service, you represent and warrant that you meet all eligibility requirements above.

4. Account Registration

Accounts are created and managed through Clerk, Inc., our authentication provider. When registering, you agree to:

• Provide accurate, complete, and current information
• Keep your password secure and confidential
• Notify us immediately of any unauthorised account access at hello@eshurelay.cloud
• Accept responsibility for all activity that occurs under your account

You may not share your account credentials with others or create accounts on behalf of another person without their explicit consent.

5. User Conduct

You agree not to use Eshu Relay to publish or distribute content that:

• Is illegal under Nigerian law or the laws of the target platform's jurisdiction
• Constitutes spam, unsolicited bulk messaging, or coordinated inauthentic behaviour
• Contains hate speech, incitement to violence, or discrimination
• Infringes the intellectual property rights of any third party
• Violates the terms of service of Facebook, Instagram, TikTok, YouTube, or WhatsApp
• Promotes misinformation, fraud, or deceptive practices
• Contains explicit or pornographic material not permitted by the target platform

Violations may result in immediate account suspension or termination without a refund.

6. Content Ownership

You retain full ownership of all content you create and submit through Eshu Relay, including text, images, videos, and voice notes.

By submitting content, you grant Auterah Systems a limited, non-exclusive, royalty-free licence to:

• Process and transmit your content to the social media platforms you have connected
• Store your content as part of your post history
• Pass your content to AI providers (Groq, OpenAI) for caption generation or transcription when you request it

This licence is limited to what is necessary to operate the service. We do not claim ownership of your content, and we will not use it for marketing, advertising, or training AI models without your explicit consent.

7. Service Limitations

Eshu Relay operates via third-party platform APIs (Meta, TikTok, YouTube). As a result:

• We are not responsible for platform API changes, outages, or deprecations that affect publishing.
• We are not responsible for account bans, content removals, or reach limitations imposed by Meta, TikTok, or YouTube.
• Publishing success depends on your accounts being in good standing with the respective platforms.
• We do not guarantee uptime or uninterrupted service.
• AI-generated captions are suggestions. We do not guarantee their accuracy, quality, or appropriateness.

8. Payment Terms

Eshu Relay offers the following subscription plans, priced in Nigerian Naira (NGN):

• Free Tier: Up to 15 posts per calendar month, at no charge.
• Pro Creator: Unlimited posts at ₦15,000 per month (or ₦144,000/year). Billed monthly or annually.
• Streamer: All Pro features + live broadcasting at ₦35,000 per month (or ₦336,000/year). Billed monthly or annually.
• Agency: All Streamer features + team workspace at ₦75,000 per month (or ₦720,000/year). Billed monthly or annually.

By subscribing to a paid plan, you authorise recurring charges to your payment method on a monthly or yearly basis until you cancel. Subscriptions auto-renew unless cancelled before the next renewal date.

To cancel, visit your dashboard Settings page or email hello@eshurelay.cloud. Cancellation takes effect at the end of your current billing period.

9. Refund Policy

As a digital subscription service:

• We do not offer refunds for partial months if you cancel mid-cycle.
• In cases of verified technical failures on our part that prevented you from using the service, we may issue a pro-rated refund or account credit at our sole discretion.
• All refund requests must be submitted within 14 days of the relevant charge to hello@eshurelay.cloud.

10. Termination

We reserve the right to suspend or terminate your account, with or without prior notice, if you:

• Violate these Terms or our content policies
• Use the service to publish illegal, harmful, or platform-violating content
• Engage in fraudulent activity, chargebacks, or abuse of the billing system
• Attempt to reverse-engineer, scrape, or disrupt the service

You may terminate your account at any time by emailing hello@eshurelay.cloud. Upon termination, your data will be deleted in accordance with our Privacy Policy.

11. Disclaimer of Warranties

Eshu Relay is provided "as is" and "as available" without warranties of any kind, either express or implied.

We do not warrant that the service will be uninterrupted, error-free, secure, or free from viruses. We do not warrant that AI-generated content will be accurate, appropriate, or suitable for any particular purpose.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Auterah Systems and its directors, employees, and agents shall not be liable for:

• Loss of revenue, profits, or business opportunities arising from use of the service
• Social media account suspensions or bans by Meta, TikTok, YouTube, or any other platform
• Content removal or reach reduction by any connected platform
• API outages, changes, or deprecations by third-party platforms
• Any indirect, incidental, special, or consequential damages

Our total aggregate liability for any claim shall not exceed the amount you paid us in the three months preceding the claim.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. Any legal proceedings shall be subject to the jurisdiction of the courts of Cross River State, Nigeria.

14. Dispute Resolution

If you have a dispute with us, contact us first at hello@eshurelay.cloud. We will make every reasonable effort to resolve disputes through good-faith negotiation within 30 days.

If a dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in Calabar, Cross River State, Nigeria, in accordance with the Arbitration and Conciliation Act (Cap A18, Laws of the Federation of Nigeria 2004). The arbitral decision shall be final and binding.

15. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will notify you via email or dashboard notification and update the "Last Updated" date. Your continued use of Eshu Relay after such changes constitutes acceptance. If you do not agree, you must stop using the service.
